What the Key Tasks Look Like: 

The Legal Counsel plays a critical role in supporting the Company’s legal needs across two key areas: general contract and commercial law (including ICT), and data protection. The Legal Counsel is a dynamic legal professional who can balance diverse responsibilities, including reviewing and negotiating complex contracts, providing legal advice on data protection and general commercial law matters, and supporting strategic objectives while managing risks effectively. The role involves close collaboration with internal stakeholders and external partners, requiring strong negotiation, risk assessment, and client communication skills. Data protection will account for approximately half of the workload, general contract and commercial law (including ICT contracting) will account for the other half of the workload.

Contract and Commercial Law, including ICT:

    • Drafting, Reviewing and Negotiating Contracts: Prepare, review, and negotiate a variety of contracts and framework agreements (including ICT, cloud services, and outsourcing) in various area with external suppliers, ensuring terms are favourable, legally compliant, and aligned with business objectives. From this angle, you also provide legal advice on ad hoc commercial law questions.
    • Risk Assessment: Identify potential legal risks in contractual agreements and develop mitigation strategies.
    • Stakeholder Communication: Collaborate with internal departments to provide clear and pragmatic legal advice on commercial law and contractual matters, facilitating informed decision-making.
    • Compliance: Ensure all contracts adhere to relevant laws and regulations, including internal policies and guidelines standards.

Data Protection:

    • Advisory Role: Provide expert advice on data protection compliance, including without limitation the General Data Protection Regulation (GDPR) and the Belgian Act complementing the GDPR, to ensure the company’s activities align with legal requirements.
    • Data Protection Agreements: Draft, review, and negotiate data protection agreements with internal and external stakeholders, safeguarding personal data and maintaining compliance.
    • Privacy Statements Implementation: Taking the lead on keeping privacy statements up to date.
    • Knowledge: Follow up on new data protection legislation, jurisprudence and doctrine together with DPO office, and share knowledge within the legal team.
    • Incident Response: Provide legal assistance in the management of data breaches or other data protection incidents.
    • Stakeholder Communication: Collaborate with the DPO and ISO to provide clear and pragmatic legal advice on data protection matters, facilitating informed decision-making.

Regulatory Compliance in ICT and Digital Services

    • DORA (Digital Operational Resilience Act): Advise on compliance with DORA requirements for ICT risk management, third-party service provider oversight, and operational resilience obligations.
    • AI Regulation: Monitor and interpret the EU AI Act and related legislation; provide guidance on contractual and compliance implications for AI systems and services.
    • Cloud Services & Outsourcing: Ensure compliance with regulatory frameworks governing cloud adoption, data localization, and outsourcing arrangements, including regulatory guidelines where applicable.
    • Cybersecurity & Digital Governance: Advise on legal aspects of cybersecurity obligations, digital governance frameworks, and contractual clauses addressing resilience and incident reporting.

Continuous Legal Monitoring

    • Stay informed on evolving EU and Belgian legislation in ICT, data protection, AI, and operational resilience.
    • Proactively assess the impact of new regulations on company operations and update internal policies and contract templates accordingly.

Required Skills and Competences:

  • You obtained a masters degree in law and have a solid experience in the fields of contracting, ICT and Data Protection
  • You have a strong analytical and risk assessment abilities
  • You have excellent organizational skills with the ability to manage multiple priorities and work effectively under pressure
  • You have excellent communication skills, with the ability to provide practical legal advice to non-legal audiences.
  • You are tech-savvy and have a keen interest in new technologies
  • You are able to speak fluently in English, Dutch and French
